Informal Resolution. Before initiating any formal proceeding, you agree to first contact ShipVolt at info@shipvolt.io and attempt in good faith to resolve any dispute informally. If a dispute is not resolved within 30 days of initial written notice, either party may proceed as described below.
Binding Arbitration. Except as set forth below, all disputes, claims, or controversies arising out of or relating to these Terms, the Website, or any Products or services offered by ShipVolt (including the interpretation, breach, termination, validity, or enforceability of these Terms) shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its then-current Commercial Arbitration Rules, and judgment on any award rendered by the arbitrator may be entered in any court of competent jurisdiction.
The arbitration shall be conducted by a single neutral arbitrator. The seat and place of arbitration shall be San Francisco, California. The arbitrator shall have authority to award any remedy that would be available in court, including injunctive or other equitable relief, but shall not have authority to award damages in excess of the limitations set forth in these Terms. The arbitrator's decision shall be final and binding on both parties.
Class Action Waiver. You and ShipVolt each agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against ShipVolt.
Exceptions. Either party may bring an individual action in small claims court. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
To the extent any dispute is not subject to arbitration under Section 11, or for the purpose of entering judgment on an arbitration award, you and ShipVolt irrevocably consent to the exclusive personal jurisdiction and venue of the state and federal courts located in San Francisco, California. You waive any objection to the laying of venue in such courts and waive any claim that such courts constitute an inconvenient forum.
Your access to and use of the Website does not create any attorney-client, advisor-advisee, fiduciary, agency, partnership, joint venture, employment, or other professional or commercial relationship between you and ShipVolt LLC. No information or content on this Website constitutes legal, financial, tax, medical, investment, or other professional advice.
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.
These Terms, together with our Privacy Policy and any product-specific terms presented at the time of purchase, constitute the entire agreement between you and ShipVolt LLC with respect to your use of the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. No modification of these Terms shall be effective unless made in writing and signed by an authorized representative of ShipVolt LLC.
No failure or delay by ShipVolt in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof. No single or partial exercise of any right, power, or privilege precludes any other or further exercise thereof or the exercise of any other right, power, or privilege.
You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without ShipVolt's prior written consent. ShipVolt may freely assign or transfer these Terms without restriction. Any attempted assignment in violation of this section is null and void.
ShipVolt reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued access to or use of the Website following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Website.
